Reseller Partner Agreement & Token Ownership Rules

3 min read

1. Overview & Reseller Partnership Scope #

This Reseller Partner Agreement governs the commercial relationship between BEX and its authorized B2B wholesale partners, master distributors, and independent resellers. Under this framework, BEX grants resellers access to the BEX management dashboard, API endpoints, and token generation engines. Resellers act as independent commercial entities authorized to bundle, brand, distribute, and sell BEX network access credentials to end-users within their respective markets.

2. Token Alloation, Pre-Purchased Balance & Ownership Rules #

To maintain ledger integrity and financial clarity across the BEX ecosystem, token ownership and wallet balances are regulated by the following principles:

  • Irrevocable Token Ownership: Pre-purchased volume units (gigabytes) or subscription slots credited to a reseller’s wallet represent fully owned commercial inventory during their active lifecycle. BEX cannot arbitrarily seize, reduce, or modify a reseller’s paid balance.
  • 12-Month Inactivity Limit on Wholesale Credit: Pre-purchased wholesale credit pools deposited into a reseller wallet remain valid for up to 12 consecutive months. If a reseller wallet shows no token minting or financial activity for 12 continuous months, the unallocated balance will be automatically archived or expired to maintain database and ledger integrity.
  • Token Minting & End-User Transfer: Once a reseller generates an end-user access token from their wholesale pool, the credit is irrevocably transferred to that active token lease.
  • Non-Refundability of Issued Inventory: Unused wholesale balances are non-refundable once purchased, but remain usable for generating end-user access tokens within the designated 12-month activity period.

3. Pricing Autonomy, Sub-Licensing & Commercial Conduct #

Reseller partners enjoy commercial flexibility while adhering to ecosystem integrity standards:

  • Retail Pricing Autonomy: Resellers maintain complete freedom to set their own retail end-user pricing, subscription durations, and customized service tiers without price-fixing constraints from BEX.
  • Whitelabel Customization: Resellers are permitted to brand client configurations, custom domain endpoints, and user interfaces under their own commercial identity.
  • Prohibition of Fraudulent Marketing: Resellers must not engage in deceptive marketing, guarantee outcomes beyond BEX SLA limits, or associate BEX infrastructure with illegal activities.

4. Account Revocation, Inactivity & Default Rules #

To protect the network against malicious actors, security risks, and abandoned systems:

  • Termination for Malicious Activity: BEX reserves the right to suspend or revoke a reseller’s API access if their sub-network is intentionally used to orchestrate network abuse, cyberattacks, or infrastructure manipulation.
  • Long-Term Inactivity & Account Archiving: Any reseller account or generated end-user access token that remains completely unused or dormant for 1 year (365 days) will be automatically archived or purged from active systems.
  • Wallet Balance Preservation upon Suspension: In the event of account suspension due to AUP violations, active end-user connections linked to legitimate prepaid tokens will run until their current lease expires, protecting end-user continuity.

5. Key Strategic & Legal Benefits #

  • Asset Protection: Guarantees absolute commercial ownership of all pre-purchased wholesale credit pools during their operational lifecycle.
  • Complete Pricing Freedom: Allows resellers to maximize profit margins based on their localized market dynamics.
  • Clear Commercial Boundaries: Establishes a transparent legal separation between infrastructure operations and retail sales activities.
